2. Definitions

For the purposes of these Terms & Conditions:

Company: Vinox, trading under the name Baginbox.nl.

Customer: Any natural or legal person entering into an agreement with Baginbox.nl.

Consumer: A natural person purchasing products for personal, non-commercial use.

Agreement: Any purchase agreement concluded between Baginbox.nl and the Customer.

Products: All products offered through our webshop, including bag-in-box wines, bottled wines and related accessories.

3. Applicability

These Terms & Conditions apply to all offers, orders and agreements concluded through Baginbox.nl.
By placing an order, the Customer agrees to these Terms & Conditions.
Any deviations from these Terms & Conditions are only valid if agreed upon in writing.

4. Products & Offers

Baginbox.nl takes great care in presenting accurate product information.
Product images are for illustrative purposes only.
Obvious errors or pricing mistakes do not bind Baginbox.nl.
All products are offered subject to availability.

5. Formation of the Agreement

An agreement is concluded once Baginbox.nl confirms the order by email.
Baginbox.nl reserves the right to refuse or cancel orders where necessary.
If a product is unexpectedly unavailable, the Customer will be informed as soon as possible and any payment received will be refunded.

6. Prices

All prices displayed include applicable VAT unless stated otherwise.
Shipping costs are clearly displayed before completing the order.
Price changes will not affect orders that have already been confirmed.

7. Payment

Payment must be made using one of the payment methods offered during checkout.
Orders will only be processed after successful payment authorization or receipt.
If payment is declined or reversed, Baginbox.nl reserves the right to suspend or cancel the order.

8. Delivery

Baginbox.nl currently delivers to the Netherlands, Belgium and Germany.
Orders are shipped to the delivery address provided by the Customer.
Delivery times are estimates and cannot be guaranteed.
Risk of loss or damage passes to the Customer once the order has been delivered.

9. Age Restriction (18+)

Alcoholic beverages are sold exclusively to customers aged 18 years or older.
By placing an order, the Customer confirms that they are at least 18 years old.
Our delivery partners may request valid identification upon delivery.
If proof of age cannot be provided, delivery may be refused.

10. Right of Withdrawal

Consumers have the right to withdraw from their purchase within 14 days after receiving the order without giving any reason.
After notifying Baginbox.nl, the Customer has another 14 days to return the products.
Refunds will be processed within 14 days after receipt of the returned products.
Refunds will be made using the same payment method used for the original purchase.

11. Exceptions to the Right of Withdrawal

The right of withdrawal does not apply to:

Opened wine packaging;
Products damaged after delivery by the Customer;
Custom-made or specially ordered products;
Sealed goods that are unsuitable for return once the seal has been broken due to hygiene or health protection reasons.

12. Returns

Returned products should be unused where reasonably possible and returned in their original packaging.
Return shipping costs are the responsibility of the Customer unless otherwise required by law.
Transport damage should be reported within 48 hours after delivery by emailing [email protected], preferably including photographs.

13. Warranty

Baginbox.nl guarantees that all products comply with the agreement and applicable legal requirements.
If a product is defective or does not meet reasonable expectations, Baginbox.nl will provide an appropriate solution, including replacement or refund where applicable.
Damage resulting from improper storage, misuse or negligence is excluded from warranty coverage.

14. Liability

Baginbox.nl shall only be liable for direct damages resulting from intent or gross negligence.
Liability is limited to the value of the relevant order.
Baginbox.nl shall not be liable for indirect damages, consequential damages or loss of profits unless otherwise required by law.

15. Force Majeure

Baginbox.nl shall not be liable for delays or failure to perform due to circumstances beyond its reasonable control.
Such circumstances include, but are not limited to, natural disasters, strikes, pandemics, government measures, transport disruptions and technical failures.
During force majeure, obligations may be suspended until normal operations resume.

16. Privacy

Baginbox.nl processes personal data in accordance with the General Data Protection Regulation (GDPR). More information can be found in our Privacy Policy.

17. Intellectual Property

All website content, including text, images, logos, product descriptions and other materials, remains the intellectual property of Vinox or its licensors and may not be copied, reproduced or used without prior written permission.

18. Complaints

Complaints may be submitted by email to [email protected].
We aim to respond to all complaints within five business days.
If additional time is required, we will inform the Customer accordingly.

19. Governing Law

These Terms & Conditions are governed by the laws of The Netherlands.
Mandatory consumer protection rights under the laws of the Customer's country of residence within the European Union remain unaffected.

20. Final Provisions

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Baginbox.nl reserves the right to amend these Terms & Conditions at any time. The version published on the website at the time of ordering shall apply.
